This is a binding legal agreement between you and Sanofi-Aventis Groupe entity ("Sanofi") which sets forth the terms and conditions (hereinafter the "Terms") that apply to your use of the website www.Sanofipars.com, including all content, features, functionality, programs and services provided in or through the website (hereinafter "the Site"). Through your access and use of the Site, you accept, without limitation or qualification, the Terms set forth below. Sanofi and/or its affiliates may, at any time, in its sole discretion revise these Terms. You are bound by any such revisions and should, therefore, periodically visit this page to review the then current Terms. The Site is intended for use only by Healthcare Professionals (as defined below).

The table provides the relevant contact information for Sanofi specific to Iran. If you are acting as a Healthcare Professional in another country than Iran, you should not use the Site.

By using this Site, you represent to Sanofi and agree that you (i) are either (a) a qualified, licensed healthcare professional in the jurisdiction in which you are using the Site (a "Healthcare Professional") or (b) are otherwise authorized by Sanofi to use the Site, (ii) will abide by the terms of any and all agreements between Sanofi and/or its affiliates and your employer, and (iii) will use the Site only in a manner consistent with your professional, ethical, regulatory, statutory and other legal requirements. By using this Site, you also represent to Sanofi that you (i) are at least 18 years of age, and (ii) have read, understood and agree to these Terms including any revision thereof with the intent to be legally bound by them.

1. Scope of the Site and Nature of information

The Site is designed for use by Healthcare Professionals (“HCP’s”). The purpose of the Site is to provide HCPs with articles related to scientific research and developments, new techniques in the field of pharmacology and medicine, modern approaches in the field of therapy, and information related to Sanofi products. The Site may contain opinions expressed by experts involved in certain areas relevant to the content of the Site, or excerpts from the press. Such information is only the opinion of the expert or author of the publication and does not necessarily coincide with the opinion of Sanofi. Sanofi is not responsible for the accuracy, correctness, completeness, error, omission or negligence of such information and opinions and therefore, Sanofi is not liable for any damages which may be caused by or through use of or acting in accordance with the above opinions or excerpts. The views of the experts reflect their personal views and should never be considered as the opinion or responsibility of Sanofi.

3. Intellectual property

Access to the Site is through remote internet browser and does not include the transfer or license of any software to you.

6. Indemnification

You agree to indemnify, defend and hold harmless Sanofi, its affiliates, and their respective directors, officers, employees, agents, suppliers, licensors and third party partners from and against all third party claims, suits, liabilities losses, expenses, damages and costs, including reasonable attorneys' fees, resulting from your use of this Site, including claims arising out of or in connection with the provision of healthcare services or related services to your patients, to the fullest extent allowed by applicable law.

7. Availability of the Site

You acknowledge (i) that the Site is not free of defects; (ii) that defects may lead to the Site being temporarily unavailable; and that (iii) operation of the Site can be affected by events and/or matters that Sanofi does not control, such as, for example, a means of transmission and communication between you and Sanofi (and/or its affiliates) and between Sanofi (and/or its affiliates) and other networks.

Sanofi, its affiliates and/or its suppliers may, at any time, alter or interrupt, temporarily or permanently, all or part of the Site to undertake maintenance and/or make improvements and/or changes to the Site. To the extent permitted under applicable law, Sanofi and its affiliates are not responsible for any alteration, suspension or interruption of the Site.

8. Usage of the Site

You are prohibited from altering, damaging or defacing the Site or adding any unauthorized material to the Site. You are advised that Sanofi and/or its affiliates will stringently protect the Site and Sanofi reserves the right to prosecute violators to the fullest extent permitted under applicable law, including by seeking criminal sanctions where applicable.

9. Account and Password

When you first register to use the Site you will receive an email with your username and password. You must keep your password secret and not give it to anyone else or let them use your account. You must not use anyone else’s password or account. You must inform Sanofi immediately if you suspect any unauthorized use of or access to your password or account. We will not be responsible if you suffer any harm or loss because you do not keep your password secret, if you let someone else use your account, if you use someone else’s password or account, or if you become aware of or suspect unauthorized use of your password or account but do not tell Sanofi promptly.

10. Privacy and Consent to use Data

You hereby confirm that you consent to the processing of your Personal Data by the Operators and authorize the Operators to entrust third parties with the processing of your Personal Data as required to achieve the goals of communicating with you through several digital channels to send you medical articles, guidelines, information related to Sanofi products and invitations to Sanofi webinars and webcasts.

The site is not intended to obtain confidential information from you, except the Personal Data necessary to communicate with you.

11. Hardware and Compatibility

Sanofi does not represent or warrant that the Site (or any updates) are compatible with any hardware or software versions or applications, including any specific versions of your phone, tablet, computer, or its specific operating system.

Sanofi and/or its affiliates may choose to provide updates to the Site from time to time in its sole discretion. Sanofi does not represent or warrant that any future updates to the Site will provide the same functionality that is provided by the current version of the Site.

13. Modifications to these Terms

These Terms are governed by the laws of the Islamic Republic of Iran, notwithstanding its conflicts of law provisions. You agree that any dispute arising from or relating to these Terms will be brought exclusively in a court of competent jurisdiction in Tehran, Islamic Republic of Iran, and in no other jurisdiction, and you hereby consent to personal jurisdiction and venue in, and agree to service of process issued or authorized by, such court.

15. No Class Actions

You may only resolve disputes with us on an individual basis, and may not bring a claim as a plaintiff or a class member in a class, consolidated, or representative action. Class arbitrations, class actions, private attorney general actions, and consolidation with other arbitrations aren't allowed.

16. Termination of Rights

Your rights under these Terms will automatically terminate if you fail to comply with any of these Terms. In addition, Sanofi may terminate your rights under these Terms at any time by discontinuing the Site or by providing you with reasonable advance written notice via email or other appropriate mechanism.In the case of termination, you must cease all use of the Site and Sanofi may immediately revoke your access to the Site. Sanofi’s failure to insist upon or enforce your strict compliance with these Terms will not constitute a waiver of any of its rights.

The provisions of these Terms relating to intellectual property, indemnity, limitation of liability, severability, warranties, disclaimer of warranties and those sections which by their sense and context should survive any termination or expiration of this agreement shall so survive.

17. Miscellaneous

If any provision or part thereof of these Terms is found to be invalid or unenforceable, such provision or part thereof shall be deemed modified to the minimum extent necessary to be valid and enforceable, in accordance with applicable law, while still as fully as possible carrying out the intent of the original provision, and the remainder of these Terms will remain in full force and effect.

Failure by Sanofi to prosecute any right with respect to a default hereunder will not constitute a waiver by Sanofi of the right to enforce rights with respect to the same or any other breach. These Terms constitute the entire agreement between you and Sanofi with respect to, and supersedes any previous oral or written communications or documents concerning, the subject matter of these Terms.
